1. General Provisions & Entity Identification
These Commercial Terms and Conditions of Sale ("Terms") govern all purchase orders, formal quotation letters, and cross-border commercial transactions executed with Grademart Ecommerce Pvt Ltd ("GradeMart", "Company", "Seller"), a private limited company incorporated under the laws of India, registered at 1/53 T, Sripuram Colony 1st Street, St. Thomas Mount, Chennai – 600016, Tamil Nadu, India.
By requesting a pro-forma invoice, issuing a Purchase Order (PO), or completing online multi-currency payment via shop.grademart.com, the buyer organization ("Buyer") confirms acceptance of these Terms.
2. Incoterms 2020 & Delivery Logistics
Unless explicitly agreed otherwise in a signed commercial pro-forma quotation, shipments are executed under Incoterms 2020 as published by the International Chamber of Commerce (ICC):
- CIF (Cost, Insurance, and Freight): Seller covers freight charges and marine insurance to the named international airport or seaport of destination. Risk transfers to Buyer upon cargo arrival at destination terminal.
- DAP (Delivered at Place): Seller delivers goods ready for unloading at Buyer's specified facility. Buyer is responsible for destination import customs clearance, tariffs, and local VAT/GST.
- EXW (Ex Works Chennai): Goods made available at GradeMart's Chennai central distribution warehouse; Buyer manages transit logistics.
3. Tax Treatment & Zero-Rated Export Compliance (LUT)
- International Buyers (Cross-Border): All export shipments departing India are billed under Letter of Undertaking (LUT) pursuant to Section 16 of the Indian Integrated Goods and Services Tax (IGST) Act, 2017. Zero domestic Indian GST (0%) is charged to overseas buyers. Destination country customs duties, import tariffs, and local VAT remain the sole responsibility of the importer.
- Domestic Indian Buyers: Orders fulfilled for delivery within the territory of India are billed with statutory Indian GST (18% for HSN 9018.90.99 medical defibrillators), with full B2B Input Tax Credit (ITC) passed on via valid GSTIN invoice.
4. Quotations, Pricing & Multi-Currency Settlement
- Quote Validity: Digital pro-forma quotations generated via our secure system (
/quote/[token]) remain valid for 7 calendar days from timestamp of issuance, locking both item unit rate and foreign exchange multiplier. - Payment Methods: Settlement is accepted in the agreed quotation currency (INR, USD, AED, SAR, SGD, EUR, GBP) via direct SWIFT bank wire transfer, Letter of Credit (LC for orders > $50,000 USD), or authorized online multi-currency payment via Razorpay International Escrow.
5. Product Authenticity, Warranties & Regulatory Compliance
GradeMart covenants that all ZOLL Medical Corporation AED defibrillators, CPR-D-padz electrodes, and consumables supplied are 100% brand-new, factory-sealed, and authentic OEM units:
- Accompanied by official manufacturer batch and serial traceability documentation.
- Backed by manufacturer limited warranties: 7 years for AED Plus and 8 years for AED 3 models.
- Certified in accordance with US FDA 510(k), European CE MDR (Regulation EU 2017/745), and Indian CDSCO Medical Device Rules, 2017.
6. Governing Law & International Arbitration
These Terms and any commercial dispute arising out of cross-border contracts shall be governed by and construed in accordance with the laws of India.
For international commercial sales, any unresolved dispute shall be settled under the Rules of Arbitration of the International Chamber of Commerce (ICC) by one or more arbitrators appointed in accordance with said Rules. The legal seat of arbitration shall be Chennai, Tamil Nadu, India, and proceedings shall be conducted in the English language.
